SMK Terms & Conditions

1. Overview

SMK – Social Media Knowledge (SMK) is a trading name of The Knowledge Exchange Pty Ltd (ABN 25 146 339 791 / ACN 146 339 791), a learning and development organisation based in Melbourne, Australia. SMK provides in-house training courses, public training courses, online training courses, membership services, and advisory and consultancy services across Australia, New Zealand, and the Asia-Pacific region.

Attendance at any training event, access to digital platforms, or provision of advisory services conducted by SMK is subject to all outstanding funds being cleared prior to delivery.

2. Services, Pricing & Payment

  • Services Provided: SMK offers public and in-house training programs, advisory and consultancy services, and online learning platforms under the SMK+ membership brand.
  • Pricing: Fees for public courses, in-person training days, advisory services, and SMK+ membership plans are as published on the official SMK website at the time of purchase or as set out in a formal written proposal or invoice. All fees are quoted in Australian Dollars (AUD) and exclude GST unless explicitly stated otherwise. International transaction fees or currency exchange rates applied by financial institutions remain the purchaser’s responsibility.
  • Payment Terms: Invoices issued by SMK are due upon receipt unless alternative written payment terms have been approved. For recurring SMK+ membership agreements, the client authorises automatic recurring charges to their nominated credit card or payment method. Late payments will incur an administrative late fee of 5.00% per month on the outstanding balance.

3. In-Person & Live Event Scheduling

SMK will make every reasonable effort to deliver in-person and live online training events on the scheduled dates, times, and venues specified in your booking confirmation.

Rescheduling & Venue Changes: SMK reserves the right to alter or reschedule the date, time, venue, or delivery format (including transitioning an in-person session to a live online session) due to circumstances beyond its reasonable control, trainer availability, venue constraints, or minimum attendance thresholds. SMK will provide fair notice of any such changes as soon as reasonably practicable.

Notice Regarding Refunds: Rescheduling, venue changes, or delivery format adjustments do not constitute a breach of contract and do not entitle the delegate or client to a cash refund. Where an in-person or live event date is changed and the delegate cannot attend, SMK will issue a course credit or transfer the registration to an equivalent future date or session.

4. Refund & Cancellation Policy

Public & In-House Courses

If you wish to cancel a standard public course or in-house training session, written notice must be sent via email to hello@smk.co. The following cancellation charges apply based on notice received prior to the scheduled course start date:

  • 30 days or more notice: 0% cancellation fee (100% refund or credit).
  • 14 to 29 days notice: 50% cancellation fee charged.
  • Less than 14 days notice: 100% cancellation fee charged (no refund).

SMK+ Memberships & 30-Day Money-Back Guarantee

  • 30-Day Money-Back Guarantee: New subscribers to SMK+ memberships are eligible for a 30-day money-back guarantee. If you find the service unsatisfactory within the first 30 days of your initial subscription, you must submit a written refund request to hello@smk.co before the 30th day to receive a full refund of membership fees paid to date.
  • 12-Month Membership Agreements: For annual or 12-month commitment plans, early termination requires written notice. If custom services, 1-on-1 coaching sessions, or allocated in-person training days have been redeemed prior to early termination, the client will be billed for the unbundled commercial value of those redeemed services (including a standard charge of $2,000 AUD per redeemed 1-on-1 coaching session).

5. SMK+ Membership & In-Person Allocations

  • Access Rights: SMK+ memberships grant access to designated digital libraries, live streams, and community spaces based on the subscription tier purchased. Membership licenses are non-transferable without prior consent.
  • In-Person Training Days: Select premium and enterprise SMK+ membership tiers include allocations for in-person training days. In-person day allocations are valid only during the active membership term, cannot be rolled over into subsequent subscription years, and cannot be redeemed for cash or credit.
  • User Limits: Team and enterprise plans are restricted to the maximum number of seat licenses specified in the plan agreement. To add or reallocate users, clients must contact an SMK account manager.

6. Intellectual Property & Confidentiality

  • Ownership: All concepts, training materials, online content, slide decks, video courses, technical know-how, trade secrets, software, and intellectual property owned or generated by SMK in connection with its training programs remain the sole and exclusive property of SMK.
  • Restrictions: Clients and delegates shall not copy, record, reproduce, distribute, or commercially exploit any SMK Intellectual Property without prior written consent.
  • Confidentiality: Both parties agree to protect all proprietary and confidential business information disclosed during the provision of services. Confidentiality obligations survive the termination of any agreement indefinitely.

7. Privacy Policy

SMK is committed to protecting your privacy in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Personal information collected (such as name, company, title, and email) is used for administrative, delivery, and research purposes. Payment information processed online is securely handled and not retained on internal SMK servers.

In the event of co-branded events or joint industry initiatives, delegate contact details may be shared with designated event partners strictly for event administration purposes. You may request removal from our communications at any time by contacting us in writing.

8. Limitation of Liability & Indemnification

To the extent permitted by law (including the Australian Consumer Law), SMK holds no liability for indirect, consequential, or economic loss arising from participation in its courses or reliance on advisory services.

Each party agrees to indemnify and hold harmless the other party, its directors, officers, employees, and agents against third-party claims, losses, or legal costs arising out of a material breach of this Agreement or negligent acts/omissions in connection with these terms.

9. General Provisions

  • Governing Law: This Agreement is governed by and construed in accordance with the laws of the State of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria.
  • Entire Agreement: These terms represent the full agreement between SMK and the client, replacing all prior representations or communications. Any variation must be in writing and agreed to by an authorised representative of SMK.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
